Terms of Service

Effective date: July 28, 2026. Updated from the July 23 version to add termination, suspension, indemnification, governing law, and how these Terms change. They govern use of Nodus services operated by Nodus, Inc. (“Nodus,” “we,” “us”). Creating an account, redeeming an invite, or calling the API accepts them.

1. The service

Nodus is the infrastructure execution layer for AI workloads: right-fit matching under the Nodus catalog, cost-to-completion routing, and recovery when capacity is reclaimed. You submit workload requirements and buy verified completion; you do not shop wholesale supplier brands through our customer surface.

2. Accounts and keys

You are responsible for API keys issued to your tenant. Keys must be kept confidential. Activity under your keys is attributed to you. Pilot / invite access may be limited or revoked.

3. Acceptable use

You may not use Nodus to violate law, infringe others’ rights, mine cryptocurrency without written approval, probe other tenants, or attempt to bypass billing or fencing controls.

4. Fees

Usage is measured via our ledger. Invoices may be issued through Stripe or offline export. Unpaid balances may result in suspension. Taxes are your responsibility unless stated otherwise.

5. Workloads and data

You retain ownership of your workloads, inputs, and outputs. You grant Nodus a limited license to process them to provide the service. You must not submit unlawful or unauthorized data.

6. Term, suspension, and termination

These Terms run from acceptance until the account is closed. Close yours at any time by telling us at the address below: we stop new work, let anything in flight reach a safe stop, and invoice what the ledger recorded.

We may suspend immediately where continuing would cause harm: non-payment past a cure period, a breach of section 3, a credential we believe is compromised, or a legal obligation. Suspension stops new submissions first, and we will not discard a committed checkpoint to make one effective. We may terminate for material breach uncured within 30 days of written notice, and either of us may end a pilot on 30 days’ notice.

After termination you have 30 days to retrieve artifacts and checkpoints, after which we may delete them. Sections 4, 5, 7 through 11, and 13 survive.

7. Availability and disclaimers

The service is provided “as is,” and to the extent the law allows we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. During launch and pilot periods, no SLA applies unless we have signed one with you. We do not warrant uninterrupted capacity from any underlying pool, and recovery is bounded by the continuity mode a workload declares: work submitted as ephemeral is not resumed after an interruption, by design.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised such damages were possible. Nodus’s aggregate liability arising from these Terms is limited to fees paid by you to Nodus in the three months before the claim. Nothing here limits liability for fraud, willful misconduct, or anything else that cannot be limited by law.

9. Indemnification

You will defend and indemnify Nodus against third-party claims arising from your workloads, inputs, outputs, or your use of the service in breach of these Terms. We will defend and indemnify you against third-party claims that the Nodus service itself infringes their intellectual property. In each case the indemnified party must give prompt notice, hand over control of the defence, and cooperate reasonably.

10. Changes to these Terms

We may update these Terms. Material changes take effect 30 days after we update the effective date above and email the address on your account, and continued use after that is acceptance. If a material change is unacceptable to you, close the account before it takes effect and we will refund any prepaid unused balance. Changes required by law may take effect sooner.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware. Either party may seek injunctive relief in any court to protect its intellectual property or confidential information. Before filing, please email us and give us 30 days to resolve it.

12. General

Neither party may assign these Terms without the other’s consent, except to a successor in a merger or sale of substantially all assets. If a provision is held unenforceable, the rest stays in force. A failure to enforce a provision is not a waiver of it. These Terms, with the Privacy Policy and any order form we have signed with you, are the entire agreement between us on this subject. Neither party is liable for delay caused by events outside its reasonable control.
